Important Registration Information

The Financial Services and Markets Act and the Rules of the FSA generally prohibit the promotion of private equity funds and other Unregulated Collective Investment Schemes

to “Private Customers”, the definition of which is broad and, inter alia, includes any

natural person investing on his or her own behalf as well as institutions, trusts, charities and other foundations which are not of a particular size. Providing access to the

The Wellness Fund site via the registration process is considered to be “promotion”

for the purposes of the FSA Rules.

There are exceptions to these restrictions where it can be demonstrated that, notwithstanding their natural Private Customer status, an individual, institution, trust etc can demonstrate significant investment knowledge and experience and understanding of the risks involved in investing in private equity. In order that we can make such as assessment, we will be unable to process your registration until such time as you have completed the attached form and provided sufficient information as to enable us to make a determination of your investment sophistication and risk appetite.

We should be grateful therefore if you could complete the form as fully as possible. Once we have reviewed this information, we will contact you to advice whether you meet the FSA requirements in relation to “promotion” and therefore registration.

Note that registrants who are counterparties, fund monitors or press, media and who are registering to monitor and/or report on The Wellness Fund fund will be given access once we have verified you as such and you merely need to complete the section under “other relevant information.”
